License:
Subject to these Terms, CodeWP.ai grants the User a limited, non-exclusive, non-transferable license to access and use the Services for the User's personal or business purposes. The User may not sublicense, distribute, or otherwise make the Services available to any third party without the prior written consent of CodeWP.ai. The User may not modify, adapt, or hack the Services or attempt to gain unauthorized access to the Services.
The code generated using the Services is created using AI models trained on CodeWP inputs, open source data, and large language models. The User owns the content of the code generated using the Services. CodeWP.ai may use the User's content for training purposes in order to improve the accuracy and quality of the Services. However, CodeWP.ai does not have the right to share the User's content with any third parties. By providing or sharing content through the Services, the User agrees to allow CodeWP.ai to view and interact with the content in accordance with the User's settings and these Terms. Any access by CodeWP.ai to the User's content for training purposes will be anonymous and will not be linked to the User's identity.
Service Level Agreement (SLA):
CodeWP.ai aims to provide a reliable and high-quality Service to all Users. The Service will be available 99.7% of the time, except for scheduled maintenance or unforeseen downtime. In the event that the Service is unavailable for an extended period of time, CodeWP.ai will use reasonable efforts to provide the User with notice and assistance in resolving any issues.
Fair Use Policy:
The Pro Plan and Agency Plan are subject to a fair use policy, which means that CodeWP.ai reserves the right to limit the number of code snippet generations for any User who is excessively using the Services. CodeWP.ai will determine what constitutes excessive use in its sole discretion, taking into account factors such as the rate of code snippet generation, the complexity of the code snippets, and the impact on the overall performance of the Services. If a User exceeds the fair use limits, CodeWP.ai may, at its discretion, either limit the User's access to the Services or require the User to upgrade to a higher plan. CodeWP.ai does not publicly disclose its fair use limits, as they may vary depending on the specific circumstances.
Payment:
The Free Plan is available at no cost to the User. The Pro Plan and Agency Plan are available for a fee, as outlined on the CodeWP.ai pricing page. The Pro Plan and Agency Plan include access to the edit and explain features, as well as all AI modes. The Free Plan does not include access to these features.
Payment for the Pro Plan and Agency Plan will be charged on a monthly or annual basis, depending on the selected billing cycle. All fees are non-refundable except in the case of a defective product. CodeWP.ai reserves the right to change the fees and limits for the paid plans at any time. If CodeWP.ai changes the limits of the paid plans during a billing period, the User will be notified in writing at least 30 days in advance of the change. For Users who have signed up for an annual plan, any changes to the fees or limits will take effect at the end of the current billing cycle. Termination:
CodeWP.ai reserves the right to terminate or suspend the User's access to the Services at any time and for any reason, including breach of these Terms or unauthorized use of the Services. Upon termination, the User's right to use the Services will immediately cease and the User will have no further access to any data or content associated with the Services. If the User's account is terminated, CodeWP.ai will provide a pro-rated refund for any unused portion of the annual plan. CodeWP.ai will also provide written notice at least 7 days in advance of deleting the User's data and will immediately revoke the User's access to generate code snippets using the Services.
Disclaimer of Warranties:
CodeWP.ai does not make any representations or warranties about the accuracy, completeness, reliability, or availability of the Services or any code snippets generated using the Services. The Services are provided "as is" and "as available" without warranty of any kind. CodeWP.ai does not warrant that the Services or any code snippets generated using the Services will be error-free or will not introduce security issues or other vulnerabilities. The User is solely responsible for testing and verifying the accuracy and suitability of any code snippets generated using the Services.
Limitation of Liability:
CodeWP.ai will not be liable for any damages arising from the use of the Services, including but not limited to indirect, incidental, punitive, or consequential damages. The User agrees that CodeWP.ai will not be liable for any damages resulting from the use of any code snippets generated using the Services, including but not limited to damages resulting from errors or security issues in the code.
Indemnification:
The User agrees to indemnify and hold CodeWP.ai and its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of the User's use of the Services.
Governing Law:
These Terms and the use of the Services will be governed by and construed in accordance with the laws of the State of North Carolina, United States, without giving effect to any principles of conflicts of law.
Changes to the Terms:
CodeWP.ai reserves the right to make changes to these Terms at any time. Any changes will be effective immediately upon posting to the CodeWP.ai website. The User's continued use of the Services after any changes have been made will constitute acceptance of the revised Terms.
Miscellaneous:
These Terms constitute the entire agreement between the User and CodeWP.ai with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect. The failure of CodeWP.ai to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. The User may not assign or transfer these Terms or the User's rights or obligations hereunder, in whole or in part, without the prior written consent of CodeWP.ai. CodeWP.ai may assign or transfer these Terms, in whole or in part, without the User's consent. Any assignment or transfer in violation of this section will be null and void. These Terms are personal to the User and are not assignable or transferable by the User. The section titles in these Terms are for convenience only and have no legal or contractual effect.
